| Except for Sections 1, 2 and 4 through 8, this Letter of Intent does not constitute or create, and shall not be deemed to constitute or create, any legally binding or enforceable obligation on the part of either party to this Letter of Intent. No such obligation shall be created, except by the execution and delivery of a definitive agreement containing such terms and conditions of the proposed Transaction as shall be agreed upon by the parties, and then only in accordance with the terms and conditions of such definitive agreement. |

除第一、第二及四至八部分外，本意向书并不构成或产生（亦不应主观上认为其构成或产生）对于当事双方的任何法律约束力或强制性义务。此类义务只在下述情形发生时方会产生，即当事双方同意的“交易”内容出现在最终协议的条款中，并且该协议已生效并执 行。与此同时，有关事宜均必须符合最终协议中的各项条款。 楼主终于把完整的Letter放出来了，那就请把之前的所有Letter都改成意向书吧。 |
