Regardless of the place of agreement, the place of performance, or otherwise, the Agreement and all amendments, modifications, alterations, or supplements hereto, shall be construed under, governed by, and the legal relations between the Parties hereto determine in accordance with, the law of the Switzerland / Canton Zurich. The contract shall not include, incorporate or be subject to the provisions of the „United Nations Convention on Contracts for the International Sales of Goods“. In case of controversies out of the contract or in connection with its performance which can not be settled amicably each party has the right to call for arbitration according to the ICC-rules, taking place in Zurich / Switzerland, applicable law being the law of the Switzerland / Canton Zurich. Any controversy or argument resulted in the difference of interpretation of this contract shall be determined by the English version. |
