The  evaluation system and  incentive system were explained at first in this paper, the connection of their construction were discussed in the following.
The problems that were existed in  the construction of  incentive system and  evaluation system of  Chinese listed companies were questioned.  Combining the actual situation, some problems that may be existed were empirical analyzed, and some effective relevant suggestions were proposed.
