第一段： Unless licensed exclusively to a third party, either Party may terminate this Agreement upon sixty (60) days written notice to the other. Such notice shall act as a final release and settlement of all claims of the terminating Party to License Revenue accrued after the effective date of termination, and as an assignment to the other Party of all the terminating Party’s right, title and interest in and to the Invention, the Patent Rights and all other intellectual property rights in the Invention. Termination shall not relieve the terminating Party from the obligation to pay its share of Patent Expenses, which have accrued but are unpaid as of the effective date of termination. 第二段： The Parties shall maintain in strict confidence all documents marked “confidential” or with similar proprietary legend and shall use such “confidential” documents only for the purposes of this Agreement (“Confidential Information”), and shall ensure that such “confidential” documents will not be disclosed by the recipient or its employees or agents, without prior written consent of the sending Party unless such information is in the public domain when disclosed; is part of the public domain through no act or omission of the recipient Party or its employees or agents, successor, or assigns; is lawfully disclosed to recipient Party by a third party possessing the right to disclose it; is already known by the recipient Party when disclosed, as evidenced by prior written records of the information; is independently discovered or developed by the recipient through no breach of this Agreement; or, is required by law, federal or state regulation(s), or court order to be disclosed. |

第二段： 各方应当对所有注明“机密”的文档，或有类似专门说明的文档进行严格保密，并且这些“机密”文档应当只能为了实施本协议（“机密信息”）的目的被使用，还要确保这些“机密”文档在没有提前得到发送方书面同意的情况下，不会被接收方，或它的雇员，或代理方泄露，除非这些“机密”信息是：当其被公开时已经在公共领域的；公共领域的一部分，没有受到接收方，或其雇员，或代理方，或继任方，或接受转让方作为或不作为影响的；被有权泄露该信息的第三方合法地向接收方泄露的；在泄露前已经被接收方获知，并有提前做好的书面记录信息作为证明的；在没有违背协议的前提下，被接收方独立地发现并被研发出来的；被法律，联邦或州条例，或法院命令要求泄露的。 |
