Effects of different proportio-n of reagents, the temperature and time on the surface of MWNTs-COOH were studied in this paper. The mechanism among MWNTs-COOH, SOCl2 and PEI were also investigated. The microstructure of MWNTs-COCl, MWNTs-CO/P-EI were investigated by TGA, FTIR, TEM. The results showed that the optimal experimental conditions of preparation MWNTs-CO/PEI were 1:6, 7hours under 70. It was concluded that the bond of C-Cl and acylamide were introduced, and a uniform layer of polymer coated on the surface of carbon nanotubes.
