| 8. Technical assistance: Any technical advice, assistance, testing or reports furnished by LyondellBasell or any of its Affiliates to Company for any reason, including, but not limited to (i) the selection, processing or use of the products delivered to Company or (ii) the storing, handling or usage of products (collectively, the “Technical Assistance”) shall be given at Company’s sole risk, and LyondellBasell shall have no liability whatsoever for the use of, or results obtained from, the Technical Assistance. Company agrees that LyondellBasell, its affiliates, agents, officers, directors, employees, representatives and insurers (collectively, the “Representatives”) shall not be liable for any aspects of the Technical Assistance. Company agrees to indemnify LyondellBasell and its Representatives from and against any and all loss, damage or liability resulting from claims relating to the Technical Assistance. The indemnity provided shall include, but not be limited to court costs, attorney’s fees, costs of investigation, costs of defense, settlements, and judgments associated with such demands, claims, suits or actions. The indemnification shall survive the termination of this Agreement. |
