| Except as expressly stated otherwise in this Letter, any dispute, controversy or claim arising out of or relating to this Letter or to a breach of it, including its interpretation, performance or termination, that the parties are unable to resolve within thirty (30) calendar days after written notice by a party to the other, shall be finally settled by arbitration. The dispute, controversy or claim may be submitted to International Chamber of Commerce (ICC) for arbitration by either party after the expiration of such 30-day period. The arbitration shall be conducted in accordance with the Rules of Arbitration of the ICC by one arbitrator appointed in accordance with the said Rules. The seat of arbitration shall be Singapore, and the arbitration shall be conducted in English language. The decision of the arbitrator shall be final and binding upon the parties hereto, and the expenses of the arbitration (including, without limitation, the award of attorney’s fees to the prevailing party) shall be paid as the arbitrator determines. Judgment upon the award may be entered in any court having jurisdiction thereof. |

除本协议另有规定外，任何由本协议引起的或与本协议有关的或违背本协议所引起的争议、纠纷或索赔，包括本协议的解释、实施或终止，在其中一方向另一方发出书面通知后30自然日内不能得以解决的，应当最终提请仲裁。该争议、纠纷或索赔可由任何一方在上述30自然日期满后向国际商会(ICC)提出。 仲裁员应当按照ICC规定指定，并由其按照ICC仲裁规则履行仲裁程序。仲裁地应为新加坡，仲裁程序应当使用英语。仲裁员的裁决是最终的，并对当事各方具有约束力。仲裁费包括但不限于：胜诉方律师费，应当于仲裁员作出裁决时支付。关于费用的判决可由任一具有管辖权的法院作出。 |
