介个应该是合同中的保密条款： 但是这个是不是原稿啊？感觉句子跟平常看到的有点不对，“ to the other party (“Recipient”)中的to是不是应该是by啊？可能是没有上下文的关系，一般而言，对于服务接受方所提供的一些保密信息，如所有权或者一些交易秘密信息，后半句就讲了，这些信息是服务提供方进行信息披露时特别书面说明有关内容是保密信息的，服务方有保守秘密的义务。 也就是说A公司交个任务给你做，肯定要跟你说一些技术或者交易有关的信息以方便您做事，对于这些信息，A公司在跟你交代的时候，会有书面文件说明哪些信息是特别需要保密的，甚至在没有做单之前就要跟你签个保密协议，那么这些信息你是肯定要保密的。 这个句子有个难理解的地方，就是因为maintain sth in confidence中的宾语sth实在太长，所以就放到最后面去了，因为英语句子讲究尾重，这样句子的结构就很清楚，如果把这个in confidence放到最后面，那这个就是典型的中式英语，读起来也很别扭，而且这个in confidence都不知道到底是接的紧前的词还是maintain。 我在网上找了一个威斯康辛州的一段，他那个就很清楚，摘抄如下： 2. Confidentiality Unless otherwise required by law, the University will exercise reasonable efforts to maintain in confidence any information, documentation and materials specifically developed or prepared by the University in performance of Services under this Agreement, except for information defined in a, b, and c below in this section. In addition, unless otherwise required by law, the University will exercise reasonable efforts to maintain in confidence any proprietary or trade-secret information disclosed or submitted to the University by the Service Recipient that is designated in writing as confidential information at the time of disclosure ("Confidential Information" . Confidential Information does not include information which:a) is generally available in the public domain or becomes available to the public through no act of the University; or b) is independently known prior to receipt thereof or is discovered independently by an employee of the University who had no access to the information supplied by the Service Recipient under this Agreement; or c) is made available to the University as a matter of lawful right by a third party. The University retains the right to refuse to accept any such information which is not considered to be essential to the completion of the Service. The obligations of the University under this paragraph shall survive and continue for one (1) year after this Agreement ends. |
