| Contractor shall not use, nor shall it disclose to any other party any such information, knowledge or trade secrets either during or after the term of this Agreement, except as otherwise authorized by UOP in writing. Contractor further agrees not to disclose to any other party without UOP’s prior written approval the fact, nature, and terms of this Agreement or any discussions with UOP or its affiliates. Notwithstanding the foregoing, Contractor may disclose UOP’s Confidential Information to its employees who need to know it in order for the Services to be performed and who have signed a nondisclosure agreement with Contractor. Contractor shall be responsible for any unauthorized use or disclosure of UOP Confidential Information by such employees and any such unauthorized use or disclosure shall constitute a breach of this agreement. Contractor’s obligations of restricted use and confidentiality shall survive any termination or expiration of this Agreement. |

| 承包商不得使用,不得透露给任何其他方任何此类信息、知识和商业秘密期间或之后,本协议的期限,除另有书面授权使用UOP。承包商同意不会进一步透露给任何其他方的事先书面同意不使用UOP事实、性质、和本协议条款或任何讨论与使用UOP或其关联公司。尽管有上述规定,承包人可以使用UOP机密信息的披露其员工需要知道它为了要执行的服务和已签署一份保密协议和承包商。承包商应负责任何未经授权而使用或披露机密信息的使用UOP这样的员工和任何此类未经授权而使用或公开将构成违反本协议的责任。承包商的义务和保密的受限制的使用应当安然度过任何合约终止或到期。 |
