内容摘要：企业扩展有内部扩展和外部扩展两种，其中企业间的并购则是企业外部扩展的表现，是企业发展和成长的重要方式之一，在现代企业经营中有着不可替代的作用。它也是社会经济生活中最富戏剧性、引人入胜的一类事情，充满了利益角力与合纵的精彩故事,总是在无尽的利益与权力的博弈之中,强烈地吸引着世人目光。与此同时，在并购活动日益成为企业发展利器的同时，其高达50%以上的失败率也让并购者胆战心惊。那么如何正确认识企业的并购也显得越来越重要。本文以A公司并购B公司为例，结合实际，就企业间并购活动中的目标企业选择及资源整合等问题作一简要研究，以便为同业者提供一点借鉴和参考。
本论文共分为四个部分：第一部分介绍A公司的基本情况、组织机构和主要业务发展状况；第二部分首先简述了并购的几种类型，国外和国内理论界对企业并购中目标企业选择的研究与认识，然后重点分析了A公司并购B公司的过程及并购后的资源整合；第三部分则是对并购后企业发展的态势及效果作了分析；第四部门介绍对企业间并购的几点启示。

Summary: Enterprise Extension internal expansion and external expansion of two kinds, in which mergers and acquisitions among enterprises is extended outside the enterprise performance, enterprise development and growth is one important way, in the modern business has an irreplaceable role. It is also the most dramatic social and economic life, a sort of thing fascinating, full of interests of the struggle with the exciting story of organized crimes, always in endless game of interests and power among the strongly attracted world attention. In the meantime, M & A activity is increasingly becoming tool for enterprise development, while up to 50% or more of its failure rate for mergers and acquisitions who tremble with fear. So how to correctly understand the corporate mergers and acquisitions have become increasingly important. In this paper, A M & B's case, in light of reality on the M & A activity between enterprises in the target company issues such as selection and integration of resources to make a brief study in order to provide some of the industry reference and reference.
This paper is divided into four parts: A first section describes the basic situation of the company, organization, and major business development situation; second part of the first outlines several types of mergers and acquisitions, foreign and domestic mergers and acquisitions in the sector on the theory of target enterprises choice of research and awareness, then focuses on the analysis of M & A process and M & B's after the integration of resources; third part is on post-merger enterprise development, an analysis of the trend and effect; fourth departments on pairs of inter-firm mergers and acquisitions Some inspiration.
