1、As used herein, the term “Confidential Information” shall include any and all information concerning the existence or content of any discussions pertaining to a business and or scientific collaboration between the parties and their respective subsidiaries and affiliates, any information which is marked with a legend indicating that the information is confidential or proprietary to the disclosing party and all other oral information which is reduced to a writing identified as confidential or proprietary and given to the recipient of the information within fifteen (15) days of the date of disclosure. It is expressly agreed that any and all information concerning the existence or content of any discussions pertaining to either party or a business arrangement and or scientific collaboration between the parties; all trade secrets; proposals; data; reports; lists; records; business practices and locations; software; documentation in any media; financial affairs and capital structure of either party; non-public data; each party’s relationship with its customers, employees, suppliers, contractors or prospective relationship with any employee, supplier or contractor; customer lists; contracts of any type or nature; marketing and business plans; financial information and similar items are “Confidential Information” irrespective of any such legending or written confirmation thereof. Each party represents and warrants that it owns or has all rights necessary to disclose the Confidential Information, no warranty, expressed or implied, is made with respect to the Confidential Information’s accuracy, completeness or any use the recipient may make of the Confidential Information. 2、Each party agrees that it has and shall, without the express prior written consent of the party disclosing such Confidential Information, keep in confidence and prevent disclosure to others of the Confidential Information of another party. Each party agrees that all Confidential Information has been and shall have been obtained in strictest confidence and that it shall use all reasonable methods and actions to maintain the Confidential Information in strictest confidence. At a minimum, all Confidential Information has been and shall be protected under lock and key in a secure storage unit at the recipient party’s principal offices, or subject to secret password if stored in electronic format, whenever an officer or authorized representative of the recipient is not present; and in all events access to such Confidential Information has been and shall be strictly limited to only those individual representatives of the respective parties who have a need to know such Confidential Information. Each party has and shall advise each of its employees, independent contractors, officers, agents, representatives, and affiliates who has a reason to know of or deal with the Confidential Information of the terms and conditions of this Agreement and shall obtain the written agreement of each such employee, independent contractor, officer, agent, representative, or affiliate to be bound by the terms and conditions hereof; each recipient party shall be liable for any damages, losses, costs or expenses (including reasonable attorneys’ fees) suffered or incurred by any other party which arise solely and directly from or in connection with breach of this Agreement by such recipient party or any its employees, independent contractors, officers, agents, representatives, or affiliates. |

本文中的”保密信息”是指相互合作的当事方与其各自的附属机构和个人、雇员之间所有已经达成协议的信息和正在商讨中的商业和科技合作信息。任何标明了“保密”的信息表明此信息是机密的，私有的；任何被归纳为书面文字的口头信息也是机密的，私有的，并给与15天的公示期。对于任何一方来说，需要明确同意的是：在双方已经达成协议的任何资料信息和任何正在商讨的有关科技合作、商业合作、所有的商业秘密、建议、数据、报告、清单、记录、商业惯例和地点、软件、在任何媒体文件、任何一方的财务和资本结构，非公开的数据，各当事方关于客户，员工，供应商，承建商或未来的任何雇员，供应商或承包商潜在的关系，客户名单、任何类型合同，营销和业务计划，财务信息和其他类似项目都是“保密信息”。各方必须声明及保证保密信息的的准确性和完整性。 各方同意：未经事先书面同意，必须保证信息保密并防止将各方的信息泄露给第三方。各方同意，将所有保密信息严格保密，并采取必要措施，使用合理的方法保证绝对保密。所有的机密文件应储存并保护在各方总部办公室内具有锁保护的柜子内，对于电子格式的文件必须使用密码保护。并且严格控制需要了解这些机密信息的相关人员人数。各方应告知其雇员，独立承包商，职员，代理人及机构，代表和分支机构了解本保密协议条款，并取得其书面承诺保密协议。各方应为各自雇员、独立的承包商、高级职员、代理人。代表或分支机构等，对保密协议的损害，损失，费用或开支承担法律责任（包括合理的律师费），并承担导致任何其他方的直接和间接损失。 |
