随着股份制公司的越来越多，公司治理也逐渐被人们所重视，公司治理的理论也越来越成为全球研究的热点。近年来如何改善和提高公司治理水平已成为热门话题，成为资本市场关注的焦点。我国对公司治理问题的关注和研究也在20世纪90年代中期开始，但是目前为止我过上市公司在治理方面存在比较严重的问题，这些问题大多数与股权结构的不合理相关，什么样的股权结构才能才能改善公司治理呢？本文就从股权结构入手，了解委托代理理论中的代理成本，分析股权结构对公司治理的关系，和研究国外公司治理模式与发展趋势并结合我国上市公司现有股权结构与公司治理中存在的主要问题提出有利于改善我国上市公司股权结构的安排以及政策创新。

With the increasing joint-stock companies, management of a company has increasingly attracted attentions, and the corresponding theory also has become a hot topic for research in the global region.
Recently how to improve and enhance the level of management of a company has become a hot topic and the focus of attention of capital markets.
The investigation about this problem in China started from 1990’s, but so far some serious problems exist in this aspect, and most of them are owing to unreasonable structure of the ownership. So what kind of structure of ownership can improve the management of a company?
This paper started from the ownership structure, and then explained the agency costs in agent theory, analyzed the relationship between ownership structure and corporate governance. Based on foreign corporate governance model and the development trend of China's listed companies combined with the existing ownership structure and corporate governance in major issues, this paper proposed the approach to improve the ownership structure of listed companies in China as well as the arrangements for policy innovation

As the number of joint-stock companies increases, business management has been attached great importance gradually, and the managerial theory has also become a hot topic around the world. In recent years, how to improve and raise the managerial level in the company has become a focus of attention in the capital market. In China, the studies on business management began in mid 1990s. However, serious problems still exist in the management of public companies so far, which are primarily related with the improper structure of ownerships. Which type of ownership structure could contribute to the management of company? Proceeding from ownership structure, the paper further explained the cost in entrust agent theory and analyzed the relationship between ownership structure and business management. Given our major problems in the current ownership structure and business management and on the basis of analyzing the managerial mode and development trend of foreign companies, the paper further proposed an arrangement and policy innovation that is conducive to the improvement of ownership structure of public companies in China.
